Klient Software License Addendum
SOFTWARE LICENSE ADDENDUM TO THE KLIENT MASTER SUBSCRIPTION AGREEMENT
This Software License Addendum (this “Addendum”) is governed by the Klient Master Subscription Agreement between Klient and You (the “Agreement”). It applies only when, and to the extent that, an Order Form identifies Licensed Software; accepting the Agreement alone does not make this Addendum apply. Where it applies, this Addendum is incorporated into that Order Form and supplements the Agreement, prevailing over the Agreement only as to the matters it expressly addresses for the Licensed Software; the Agreement governs everything else, unchanged. Capitalized terms not defined here have the meanings given in the Agreement.
1. LICENSED SOFTWARE
“Licensed Software” means the software product(s) and editions identified on an Order Form, together with any maintenance releases and accompanying documentation Klient makes available for them. Licensed Software is of two types: (a) MCP Servers — locally-installed Model Context Protocol server programs that expose tools an AI client may call to operate against a Salesforce org under Your own credentials; and (b) Skills — separately-licensed instruction playbooks that operate through an MCP Server and are non-functional without it. The specific products, editions, SKUs, and quantities are those stated on the Order Form; this Addendum does not list them, and adding, renaming, or retiring a product does not require amending this Addendum.
2. LICENSE GRANT
2.1 Grant. Subject to the Agreement, this Addendum, and payment of the fees stated on the Order Form, Klient grants You a perpetual (subject to Section 6), non-exclusive, non-transferable, non-sublicensable license to install and use the Licensed Software identified on the Order Form, on the machines within Your organization (subject to any quantity stated on the Order Form), for Your internal business purposes, in connection with Salesforce orgs owned or administered by You. The license covers the version(s) identified on the Order Form and any maintenance releases Klient makes available for them; a new major version is a separate product, licensed under a separate Order Form. The license is granted to the legal entity named on the Order Form; use by an Affiliate requires that the Affiliate be named on an Order Form.
3. RESTRICTIONS
The usage restrictions in Section 3.4 of the Agreement apply to the Licensed Software. In addition, You shall not: (a) distribute, redistribute, or provide copies of the Licensed Software to any third party; (b) circumvent the gated-distribution mechanism through which the Licensed Software is made available; (c) remove or alter any proprietary or license notice in or on the Licensed Software; or (d) disable or bypass any safety control built into the Licensed Software.
You acknowledge that the Licensed Software is distributed in a form that can be inspected or reconstructed, and that Klient does not rely on its secrecy. Any use outside the scope of the license in Section 2 is unlicensed.
4. OPERATION UNDER YOUR CREDENTIALS
The Licensed Software performs operations — including writes to Your Salesforce records — by exposing tools that Your chosen AI client (a Non-Klient Application) calls and executes against Your Salesforce org under Your own credentials. Klient does not host or control the AI client or the operations it initiates. All operations performed through the Licensed Software under Your credentials are Your actions, whether initiated by a person or by an AI client acting at Your direction, and Your responsibilities for AI Services and AI Output under Section 3.6 of the Agreement apply to them.
5. WARRANTY, FEES, AND SUPPORT
5.1 AS IS. The warranty in Section 8.2 of the Agreement does not apply to the Licensed Software, which is provided “AS IS” and is otherwise subject to the disclaimers in Section 8.3 of the Agreement.
5.2 Fees; no refund. Fees for the Licensed Software are as stated on the Order Form, are non-cancelable and non-refundable, and the prepaid-fee refund in Section 11.5 of the Agreement does not apply to them.
5.3 Support. Support, if any, is as stated on the Order Form; it is a separate, time-limited service, and its expiry does not affect the perpetual license.
6. TERMINATION
The license terminates on termination of the Agreement, or under Section 11.4 of the Agreement for an uncured material breach of this Addendum. On termination of the license, You shall cease all use of, and destroy all copies of, the Licensed Software and, on request, certify destruction. No refund is due. Sections 3 and 6 survive, alongside the surviving provisions of the Agreement.
